These Terms of Use (“Terms”) govern your access to and use of VouchrPay's WhatsApp-native voucher platform, website, landing pages, merchant tools, and related services (collectively, the “Services”), operated by VouchrPay (“VouchrPay,” “we,” “us,” or “our”).
By opting in on WhatsApp, creating an account, purchasing, sending, receiving, or redeeming a voucher, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. Our handling of personal data is described separately in our Privacy Policy, which forms part of these Terms by reference.
1. Definitions
“User” means any individual who interacts with VouchrPay via WhatsApp or our web channels to receive, hold, gift, or redeem a Voucher.els;
“Business” means a business onboarded to issue and distribute vouchers through VouchrPay's tools to their beneficiaries.
“Merchants” means a goods and or service-providing business onboarded to redeem and validate vouchers issued through VouchrPay’s merchant tool or integrated POS terminal.
“Voucher” means a digital unit of value or entitlement issued through VouchrPay, redeemable at a participating Merchant, subject to the terms and expiry attached to it.
“BSP” means the WhatsApp Business Solution Provider (currently 360dialog/ Termii/) used to send and receive messages on our behalf.
“POS Partner” means a point-of-sale or payment rail partner (e.g., Firstmonie, Moniepoint) used to process or reconcile in-store redemptions.
2. Who We Are
To use the Services, you must:
Be at least 18 years old, or the age of legal majority in your jurisdiction;
Have the legal capacity to enter into a binding contract;
Hold a valid WhatsApp account and phone number capable of receiving messages;
Complete the applicable KYC (for Users) or KYB (for Merchants) verification tier before certain transaction limits or features are unlocked.
We may refuse service, suspend, or terminate access if eligibility requirements are not met or verification cannot be completed.
3. Account, WhatsApp Opt-In, and Verification
You must explicitly opt in before we send you WhatsApp messages; you may opt out at any time by replying “STOP” or through your WhatsApp settings, though this may limit your ability to receive or redeem Vouchers.
You are responsible for keeping your WhatsApp account and registered phone number secure. VouchrPay is not responsible for losses arising from a compromised WhatsApp account, SIM swap, or lost device.
Identity and business information you provide during KYC/KYB must be accurate, current, and complete. We may request additional verification at any time, including where a transaction pattern triggers our anti-fraud or anti-cash-out controls.
We reserve the right to limit transaction sizes or features based on your verification tier.
4. Voucher Terms
4.1 Issuance and delivery
Vouchers are issued by businesses through VouchrPay's infrastructure and delivered to users via WhatsApp or other channels indicated at purchase or gifting.
VouchrPay facilitates delivery and redemption infrastructure; the underlying goods, services, or value represented by a Voucher are the responsibility of the issuing Merchant unless otherwise stated.
4.2 Redemption
Vouchers may only be redeemed at participating Merchants, subject to any conditions, minimum spend, or category restrictions disclosed at issuance.
Vouchers are redeemable once, in full or in part where partial redemption is supported by the issuing Merchant, until the balance is exhausted or the Voucher expires.
4.3 Expiry, transfer, and refunds
Vouchers carry the expiry date shown at issuance. Expired Vouchers cannot be redeemed unless the issuing Merchant agrees otherwise.
Vouchers may be gifted or transferred only through features we explicitly support; unsupported transfers (e.g., “manually forwarding a code outside the platform”) are at the User's own risk.
Vouchers are generally non-refundable once issued, except where required by law, or where VouchrPay determines a technical error caused an incorrect issuance.
5. Merchant Terms
Merchants must complete KYB verification and provide accurate business, and banking, details before activation.
Merchants are solely responsible for the goods, services, promotions, and value represented by the Vouchers they issue, and for honouring valid Vouchers presented for redemption.
Settlement of redeemed Voucher value to a Merchant's bank or POS-linked account follows the reconciliation timelines agreed at onboarding.
VouchrPay may withhold, delay, or reverse settlement where a transaction is flagged under our anti-fraud, anti-money-laundering, or anti-cash-out controls, pending investigation.
Businesses must not use VouchrPay to issue Vouchers for illegal goods or services, or to facilitate cash-out schemes inconsistent with our compliance policy.
6. Fees
VouchrPay may charge fees for issuance, processing, and/ or redemption of Vouchers, as disclosed at the point of transaction or in a separate Merchant understanding. We will not change fees applicable to an already-issued Voucher retroactively(perhabs).
7. Prohibited Use
You agree not to:
Use the Services for money laundering, terrorism financing, or any illegal cash-out scheme;
Provide false, misleading, or stolen identity or business information during KYC/KYB;
Attempt to duplicate, forge, or manipulate Voucher codes;
Circumvent, disable, or interfere with security features, rate limits, or anti-fraud controls;
Use automated means (bots, scripts) to interact with the WhatsApp channel or Services without our written consent;
Resell Vouchers outside of features we explicitly support, or use the Services to facilitate a business model not disclosed to us at onboarding.
We may suspend or terminate access, withhold settlement, and report suspected violations to the Nigerian Financial Intelligence Unit (NFIU) or other competent authorities, consistent with our Privacy Policy and compliance obligations.
8. Third-Party Services
The Services depend on infrastructure operated by third parties, including WhatsApp/Meta Platforms, Inc., our BSP (currently 360dialog), and POS/payment partners (including Firstmonie and Moniepoint). Your use of WhatsApp is also governed by Meta's own terms and policies. VouchrPay is not responsible for outages, message delivery failures, or service interruptions caused by these third parties, though we will work to resolve them as quickly as reasonably possible.
9. Intellectual Property
All trademarks, logos, platform designs, and underlying technology used to provide the Services are owned by VouchrPay. Nothing in these Terms grants you any right to use VouchrPay's branding or technology except as necessary to use the Services as intended.
10. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, VouchrPay disclaims all warranties, express or implied, including fitness for a particular purpose, and does not guarantee that the Services will be uninterrupted, error-free, or available at all times, given their dependency on third-party messaging and payment infrastructure.
11. Limitation of Liability
To the maximum extent permitted by applicable law, VouchrPay's total liability arising out of or relating to these Terms or the Services shall not exceed the value of the Voucher transaction giving rise to the claim. VouchrPay shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from your use of the Services. Nothing in these Terms limits liability that cannot be excluded under Nigerian law.
12. Indemnification
You agree to indemnify and hold VouchrPay harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of applicable law.
13. Suspension and Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or where required by a regulator or law enforcement request;
You may stop using the Services at any time by opting out of WhatsApp messaging and ceasing use of the platform;
Termination does not affect Vouchers already validly issued and unexpired, except where termination results from fraud, in which case affected Vouchers may be frozen pending investigation.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Where changes are material, we will notify you via WhatsApp or email before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms shall first be addressed through good-faith negotiation between the parties. If unresolved within a reasonable period, disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria, without prejudice to any mandatory consumer protection or regulatory rights available to Users.
